Terms of Use

1.Defined terms

In this document, the following words carry the meanings given here. Where a word is defined in the Act, that meaning applies.

the Company, we, us, our

: Friedbot Studio Private Limited, a company incorporated in India under Corporate Identity Number U62010UP2025PTC222020, with its registered office at O-1275 Gaur City Center, Greater Noida West, Uttar Pradesh 201318, India.

the Site

: the website published at friedbotstudio.com, including all pages, content, and functionality made available through it.

you, your

: any person who accesses or uses the Site.

Content

: all text, images, design, layout, code, marks, and other material published on the Site.

the Act

: the Digital Personal Data Protection Act, 2023, together with the rules made under it, each as amended from time to time.

2.Application and acceptance

2.1By accessing the Site you accept these Terms and agree to comply with them. If you access the Site on behalf of an organisation, you confirm that you have authority to bind that organisation, and these Terms bind it.

2.2We may amend these Terms under clause 21. The version in force is the one published on the Site at the time of your access.

3.What these Terms do not cover

3.1Nothing on the Site constitutes an offer, a quotation, a proposal capable of acceptance, or a contract. Any engagement with us is governed exclusively by a separate written agreement executed for that engagement, and in the event of any inconsistency that agreement prevails over these Terms.

3.2The following are governed separately and not by these Terms:

1. (a)the Baseline documentation published at baseline.friedbotstudio.com;
2. (b)PhantomFlow, published at phantomflow.dev;
3. (c)the Foundry programme, which carries participation terms issued to participants when a cohort opens; and
4. (d)our processing of personal data, which is governed by the Privacy Policy.

4.Permitted use

4.1You may access and read the Site, link to it, and quote from our published writing with attribution and a link to the source page.

4.2You may use the Content for your own reference. Any other use requires our prior written consent.

5.Prohibited use

5.1You must not:

1. (a)copy, reproduce, or republish a substantial part of the Content, or present it as your own;
2. (b)access the Site by automated means in a manner that impairs its availability or performance for others;
3. (c)attempt to gain unauthorised access to the Site, to any server or system on which it is hosted, or to any account or data held on them;
4. (d)introduce any malicious code, or interfere with the proper working of the Site;
5. (e)use any contact facility on the Site to transmit unsolicited advertising, malicious code, or unlawful material; or
6. (f)use the Site for any unlawful purpose, or in breach of any applicable law.

6.Intellectual property

6.1All intellectual property rights in the Content are owned by or licensed to us and are protected by applicable law. Our name, logo, and product names are our marks and may not be used without our prior written consent.

6.2Nothing in these Terms transfers any intellectual property right to you.

6.3Baseline is licensed separately as open-source software under the Apache License, Version 2.0. Your rights in respect of Baseline arise under that licence and not under these Terms, and nothing in these Terms limits or varies that licence.

7.Submissions and feedback

7.1If you submit an idea, suggestion, or item of feedback to us, whether through a contact facility on the Site or otherwise, you grant us a non-exclusive, irrevocable, worldwide, royalty-free right to use it without obligation, attribution, or compensation to you.

7.2This clause exists to avoid a dispute where we were already developing something similar. It does not operate to transfer ownership of your business ideas or confidential information to us.

7.3You must not submit confidential information through any contact facility on the Site. If you need to disclose confidential information to us, contact us first and we will agree an appropriate basis for the disclosure.

8.Third-party links and materials

8.1The Site contains links to websites and resources operated by third parties. Those links are provided for your convenience only and do not constitute an endorsement.

8.2We have no control over the content of third-party sites and accept no responsibility for them, for any loss arising from your use of them, or for their handling of your data.

9.Accuracy and availability

9.1The Content is provided for general information. While we take reasonable care to keep it accurate and current, we give no warranty that it is complete, accurate, or up to date. Indicative pricing, timelines, and technical descriptions are subject to change without notice.

9.2We do not warrant that the Site will be available uninterrupted or free from error, and we may suspend, withdraw, or modify all or any part of the Site without notice and without liability.

10.Disclaimer of warranties

10.1To the fullest extent permitted by applicable law, the Site and the Content are provided on an 'as is' and 'as available' basis, and we exclude all warranties, conditions, and representations, whether express or implied, in relation to the Site and the Content.

10.2Nothing in this clause excludes any warranty or condition that cannot be excluded under applicable law.

11.Limitation of liability

11.1To the fullest extent permitted by applicable law, we shall not be liable to you for any loss of profit, loss of revenue, loss of business, loss of anticipated savings, loss or corruption of data, or any indirect or consequential loss, arising out of or in connection with your use of, or inability to use, the Site.

11.2Nothing in these Terms excludes or limits our liability for fraud or fraudulent misrepresentation, for death or personal injury caused by our negligence, or for any other liability that cannot be excluded or limited under applicable law.

12.Indemnity

12.1You agree to indemnify us against all liabilities, costs, and reasonable expenses that we incur arising out of your breach of clause 4 or clause 5, or out of any unlawful use of the Site by you.

13.Your data protection rights are unaffected

13.1Nothing in these Terms limits, waives, or otherwise varies any right you have under the Act, and nothing in these Terms overrides the Privacy Policy in respect of personal data.

13.2In the event of any inconsistency between these Terms and the Act, the Act prevails.

14.Suspension of access

14.1We may restrict or withdraw your access to the Site where we reasonably believe you have breached these Terms. This is without prejudice to any other right or remedy available to us.

15.Notices

15.1Any notice to us under these Terms must be sent to [email protected] or delivered to our registered office at O-1275 Gaur City Center, Greater Noida West, Uttar Pradesh 201318, India. A notice sent by email is deemed received on the next business day after transmission.

16.Assignment

16.1We may assign or transfer our rights and obligations under these Terms to any successor to our business or assets. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

17.Severability

17.1If any provision of these Terms is held by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.

18.No waiver

18.1No failure or delay by us in exercising any right or remedy under these Terms shall operate as a waiver of it, and no single or partial exercise shall preclude any further exercise of that or any other right or remedy.

19.Entire agreement

19.1These Terms, together with the Privacy Policy, constitute the entire agreement between you and us in relation to your use of the Site, and supersede any prior understanding in relation to it.

19.2This clause does not apply to, and does not limit, any separate written agreement governing an engagement with us.

20.Survival

20.1Clauses 6 (Intellectual property), 7 (Submissions and feedback), 10 (Disclaimer of warranties), 11 (Limitation of liability), 12 (Indemnity), and 22 (Governing law and jurisdiction) survive any termination of your access to the Site.

21.Amendments

21.1We may amend these Terms at any time by publishing an amended version on the Site. The effective date at the head of these Terms records when the current version took effect, and your continued use of the Site after that date constitutes acceptance of the amended Terms.

22.Governing law and jurisdiction

22.1These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the laws of India.

22.2The parties submit to the exclusive jurisdiction of the courts at Gautam Buddha Nagar, Uttar Pradesh, India.
